Applicability: All products, materials, components, goods, commodities, software, technology and any other items (the “Products”) and services offered for sale by Acme Lock Company ("Acme") are sold subject to these terms and conditions of sale (these “Terms and Conditions”). Acme's performance of any contract is expressly made conditional on Buyer's agreement to these Terms and Conditions, unless otherwise specifically agreed to in writing by Acme. No other terms and conditions, including any terms and conditions attached to, or contained within, Buyer's request for quotation, acknowledgment, purchase order or other contract documentation shall apply, and all such terms are hereby rejected by Acme. Buyer’s acceptance of the Products or services delivered by Acme constitutes Buyer’s agreement that these Terms and Conditions govern the purchase and sale of such Products or services. THESE TERMS AND CONDITIONS SHALL SUPERSEDE ANY ADDITIONAL, DIFFERENT OR CONFLICTING TERMS PROPOSED BY BUYER OR CONTAINED ON BUYER'S PURCHASE ORDER OR ANY DOCUMENT OR INSTRUMENT SUBMITTED BY BUYER.
Services: Acme agrees to perform services as mutually agreed upon by customer and Acme. Acme shall perform such services in a timely manner in accordance with its availability and the complexity of the work. Acme may represent, perform services for, and contract with other additional customers as Acme, in its sole discretion, sees fit.
Returns: Acme shall only process returns for items purchased from Acme. Acme reserves the right to deny the return of any items. Returned items must be authorized in writing by Acme within 60 days of purchase. All returns and cancellations are subject to a 30% restock fee. All returned items must be returned with the original proof of purchase and must be in resalable condition, free from scratches and defects. Special order materials or items modified or customized in our shop are not returnable. Acme will only accept returned Products from customers in the United States.
Special Products: Orders for special or modified Products are non-cancelable. In the event that Buyer cancels an order for such Products, Acme shall charge Buyer an amount equal to Acme’s costs, expenses incurred and a reasonable margin, up to and including the full invoice price, in performing the purchase order prior to receipt of notice of cancellation.
General Terms: Labor estimates are based on non-prevailing wage unless otherwise stipulated. Unless otherwise noted, prices do not include running or connecting wires. Estimate pricing is subject to change due to vendor price increases, surcharges, tariffs, modifications of services, or expenses related to hazardous materials (as provided below). Estimates assume that all work can be performed between 8am and 5pm Monday through Friday unless otherwise noted.
Payment Terms: Payment terms are the same as those previously established with the customer. If no prior credit terms are established, then the terms are Cash on Delivery (COD). A 3% service fee will be added to the invoice total if paid by credit card after 10 days of invoice date and on any payment greater than $5,000. Shipping and handling charges may apply. If any amounts become past due for any reason, Acme may, at its option and without further notice, withhold further services until all invoices have been paid.
Terms of Sale: All sales within the United States are F.O.B. (shipping point). All international sales are F.O.B. (origin port). Title to the Products shall pass to Buyer, and risk of loss or damage to the Products shall be assumed by Buyer, as follows: (a) for shipments within the United States or within Canada, upon shipment of the Products from Acme’s facility; and (b) for international shipments, upon delivery to the origin port. Deposits Required: For COD customers, a 50% deposit is required on all projects greater than $1500. For credit customers, a 50% deposit is required on all projects greater than $20,000.
Force Majeure: Acme shall not be liable for any failure or delay in the performance of its obligations hereunder if such failure or delay is on account of causes beyond its reasonable control, including but not limited to, civil commotion, war, fires, floods, accident, inclement weather, electrical outages, network failures, casualty, strikes or labor disputes, local disease outbreaks, public health emergencies, acts of God, or other similar or different occurrences beyond the reasonable control of Acme
Hazardous Material: Prior to Acme performing any work on customer’s premises, customer shall notify Acme in writing of any known hazardous materials or substances located on customer’s premises, including, without limitation, asbestos or polychlorinated biphenyl (“hazardous materials”), and customer, at customer’s expense, shall immediately remediate such hazardous materials from the known affected areas. Acme, in its sole discretion reserves the right to inspect such affected areas and may refuse to perform work for the customer on the premises until such hazardous materials are rendered harmless. During work, if Acme, its agents, employees, or assigns, discovers or encounters any substance believed to be a hazardous material, Acme shall immediately stop work in the affected area and promptly notify the customer in writing. When the hazardous material has been remediated and rendered harmless, Acme’s work in the affected area shall resume upon agreement of Acme and the customer. To the fullest extent permitted by law, customer shall indemnify and hold harmless Acme, its agents, employees, and assigns, from and against claims, damages, losses, and expenses, including but not limited to attorneys’ fees, arising out of or resulting from work performed in the affected area, if the presence of hazardous material is known to the customer, presents the risk of bodily injury, disease, or death, and has not been rendered harmless.
Limited Warranty: Acme warrants that the Product purchased shall perform as intended for one (1) year from the date of installation, excepting use for other than its intended purpose or abuse of the Product. THE APPLICABLE PRODUCT WARRANTY IS GIVEN EXPRESSLY AND IS THE ONLY WARRANTY GIVEN BY ACME WITH RESPECT TO THE PRODUCTS. ACME MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE FULL EXTENT PERMITTED BY LAW, ACME HEREBY SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN ACME’S SOLE DISCRETION, BUYER’S EXCLUSIVE REMEDY SHALL BE THE (I) REPLACEMENT OF THE PRODUCT AND/OR INSTALLATION OF THE PRODUCT OR (II) RETURN OF THE MONIES PAID TO ACME FOR THE PRODUCTS OR SERVICES PROVIDED.
LIMITATION OF LIABILITY: IN NO EVENT SHALL ACME BE LIABLE, IN CONTRACT, TORT, STRICT LIABILITY, OR UNDER ANY OTHER LEGAL THEORY, FOR INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, REGARDLESS OF WHETHER ACME WAS INFORMED ABOUT THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT SHALL ACME’S LIABILITY EXCEED AN AMOUNT EQUAL TO THE SALES PRICE OF THE PRODUCTS. THE FOREGOING LIMITATIONS SHALL APPLY TO THE FULL EXTENT PERMITTED BY LAW. BUYER ASSUMES ALL RESPONSIBILITY FOR THE FINAL SELECTION, TESTING AND VALIDATION OF PRODUCTS PURCHASED FROM ACME AND THE FITNESS OF SUCH PRODUCTS FOR BUYER’S APPLICATION.
Inspection: Buyer shall be responsible for inspecting all Products shipped hereunder prior to acceptance, provided that if Buyer shall not have given Acme written notice of rejection within thirty (30) days following shipment to Buyer, the Products shall be deemed to have been accepted by Buyer.
Governing Law / Disputes: These Terms and Conditions shall be governed by the laws of the State of Ohio without giving effect to its conflict or choice of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions. All disputes under these Terms and Conditions and all claims arising out of or related to these Terms and Conditions shall be resolved by courts located in the State of Ohio. Buyer agrees and consents to the exclusive jurisdiction and venue of the federal and state courts in the State of Ohio, and Buyer waives any jurisdiction or venue defense otherwise available.
Miscellaneous: Prices are subject to change without notice and supersede all previous quotations. Acme reserves the right to change or modify Product design or construction without prior notice and without incurring any obligation to make such changes or modifications to Products previously sold. In the event that any of the provisions of these Terms and Conditions are held to be invalid or unenforceable in whole or in part, those provisions to the extent enforceable and all other provisions shall nevertheless continue to be valid and enforceable as though the invalid or unenforceable provisions had not been included in these Terms and Conditions. Buyer shall not assign its rights or its obligations under these Terms and Conditions without the written consent of Acme. The failure of Acme to enforce at any time any of the provisions of these Terms and Conditions shall in no way be construed to be a waiver of any such provisions, or the right of Acme thereafter to enforce each and every such provision. Acme and Buyer are independent contractors; neither is an agent or employee of the other or has any authority to assume or create any obligation or liability of any kind on behalf of the other.
